Guide on amending articles

The articles of a corporation under the Canada Business Corporations Act (CBCA) can be amended by submitting a request through the Online Filing Centre. Corporations Canada offers several methods of filing (see How do I file my application under the Canada Business Corporations Act (CBCA)?). You will have to pay a filing fee (see Services, fees and turnaround times – CBCA).

Documents to file to amend articles

An application to amend articles must include:

  1. a completed and signed Form 4 – Articles of Amendment (see Federal incorporation forms; Instructions for completing Form 4 – Articles of Amendment are also available)
  2. the following documents, as applicable:
    1. if you are changing the corporation's name to a word name, a Nuans corporate name search report
    2. if the province of registered office is changing, a completed and signed Form 3 - Change of Registered Office Address (see Federal incorporation forms; Instructions for completing Form 3 – Change of Registered Office Address are also available)
    3. if any of the directors of the corporation are being changed, a completed and signed Form 6 – Changes Regarding Directors (see Federal incorporation forms ; Instructions for completing Form 6 – Changes Regarding Directors are also available)
  3. the filing fee (see Services, fees and turnaround times – CBCA).

Restated articles of incorporation

If your corporation has made several amendments to its articles, you can consolidate all the changes and set out the current articles of your corporation into one document. This makes it easier to consult the corporation's articles. To make this consolidation an official document, you can file restated articles with Corporations Canada.

An application to file restated articles of incorporation must include:

  1. a completed and signed Form 7 – Restated Articles of Incorporation (see Federal incorporation forms)
  2. the filing fee (see Services, fees and turnaround times – CBCA), if applicable. No fee is payable if Form 7 – Restated Articles of Incorporation is submitted together with a Form 4 – Articles of Amendment.

Note

If you submit your articles of amendment through the Online Filing Centre and submit the restated articles of incorporation (by email or fax) on the same day, you will avoid paying a separate filing fee.
