The following summarizes the Exemption Decisions made by the Director under the Canada Business Corporations Act.

ENTERTAINMENT ONE LTD.

Decision No. : E-039/17

It has been determined that the management of ENTERTAINMENT ONE LTD. is partially exempt pursuant to subsection 151(1) of the Canada Business Corporations Act from the requirements of subsection 150(1) of the Act, specifically exempt from setting out the information provided for in Part 1(c) or Item 9, 10 or 16 of Part 2 of Form 51-102F5 (Information Circular) of the NI 51-102, and the statement referred to in Item 8 of Part 2 of that Form in the management proxy circular for the annual meeting to be held on or about September 13, 2017.

This exemption has been granted on August 9, 2017.

PLAINTREE SYSTEMS INC.

Decision No.:  E-040/17

It has been determined that the management of PLAINTREE SYSTEMS INC. is exempt pursuant to subsection 151(1) of the Canada Business Corporations Act (CBCA) from the requirement of subsection 150(1) of the CBCA to send the prescribed management proxy circular to each shareholder whose proxy is solicited for the annual meeting of shareholders to be held on or about September 29, 2017.

The exemption has been granted on the basis that the corporation is a distributing corporation, as defined in the CBCA, and that the corporation makes the prescribed management proxy circular accessible as well as sends a notice thereof, in accordance with National Instrument 54-101 Communication with Beneficial Owners of Securities of a Reporting Issuer and National Instrument 51-102 Continuous Disclosure Obligations, to each shareholder whose proxy is solicited.

This exemption has been granted on August 28, 2017.
